AMD Expands AI Ambitions with $4.9 Billion Acquisition of ZT Systems

In a significant move to strengthen its position in the artificial intelligence (AI) market, Advanced Micro Devices (AMD) announced it will acquire ZT Systems for $4.9 billion.

The deal, which includes a contingent payment of $400 million based on certain milestones, is expected to close in the first half of 2025, pending regulatory approval.

ZT Systems, based in Secaucus, New Jersey, designs and manufactures servers and infrastructure for data centers—a sector increasingly dominated by AI. With this acquisition, AMD aims to accelerate its AI strategy by enhancing its ability to deliver AI training and inference solutions at scale. AMD CEO Dr. Lisa Su emphasized that the deal is a major step toward making AMD a comprehensive AI systems provider.

AMD vs. Nvidia: Strengthening the Data Center Arsenal
The acquisition of ZT Systems underscores AMD's commitment to competing with Nvidia in the AI space. Nvidia has established itself as the dominant player in AI computing, offering complete data center systems that include chips, networking, and software. AMD’s acquisition of ZT Systems, coupled with its recent $665 million purchase of AI lab Silo AI, signals a clear strategy to match Nvidia’s comprehensive offerings.

ZT Systems brings in over $10 billion in annual revenue, primarily from manufacturing. However, AMD plans to sell ZT’s manufacturing operations to avoid direct competition with key customers like Dell and HP. Instead, AMD will retain about 1,000 engineers to focus on system design, a move that aligns with its broader goal of enhancing AI infrastructure capabilities.

Strategic Implications and Market Response
AMD’s decision to acquire ZT Systems marks a shift toward becoming a more integrated AI solutions provider, similar to Nvidia. The acquisition also highlights AMD’s willingness to invest heavily in expanding its AI footprint, with over $1 billion spent on AI-related ventures in the past year alone.
